Our client is seeking a highly skilled and experienced Finance Paralegal to join our legal team. As a Finance Paralegal, you will be responsible for providing support to our attorneys in a variety of finance-related legal matters. You will work on complex transactions, draft legal documents, and ensure compliance with legal requirements. This is a full-time, permanent position, and the successful candidate will have at least 2 years of experience in the legal industry.

Responsibilities:

• Draft and review legal documents related to finance transactions, including UCC, credit agreements, security agreements, collateral descriptions, disclosure schedules, closing checklists, shareholder consents, board consents, amendment certificates, and closing certificates.
• Assist attorneys in all aspects of finance transactions, including due diligence, document review, and closing procedures.
• Prepare and file legal documents with relevant government agencies, including transactions, filings, good standing certifications, and certified charters.
• Assist in the drafting of incorporation documents, formation documents, and other legal documents as required.
• Conduct legal research and analysis as needed to support attorneys in finance-related matters.
• Ensure compliance with legal and regulatory requirements in all aspects of finance transactions.
• Maintain accurate and complete records of all legal documents and transactions.

Qualifications:

• At least 2 years of experience as a Paralegal in the legal industry, with a focus on finance-related matters.
• Strong knowledge of finance transactions, including UCC, credit agreements, security agreements, collateral descriptions, disclosure schedules, closing checklists, shareholder consents, board consents, amendment certificates, and closing certificates.
• Experience with drafting legal documents, including incorporation documents, formation documents, and other legal documents as required.
• Excellent organizational skills and attention to detail, with the ability to manage multiple projects simultaneously.
• Strong communication skills, both written and verbal, with the ability to work effectively with attorneys, clients, and other stakeholders.
• Ability to work independently and as part of a team in a fast-paced, deadline-driven environment.
• Proficiency in Microsoft Office and legal research tools.
• Bachelor's degree or equivalent experience in a related field.
